YOHB – Terms of Service

Welcome to YOHB (“YOHB,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, mobile applications, waitlist, and related products or services (collectively, the “Services”). By visiting our site, joining our waitlist, or creating an account, you agree to be bound by these Terms. If you do not agree, do not use our Services.

PLEASE READ THESE TERMS CAREFULLY. They include an arbitration agreement, class action waiver, and jury trial waiver that affect your legal rights. See Section 15 for details on how to opt out of arbitration.

1. Eligibility

You must be at least 16 years old (or the age of majority in your jurisdiction, whichever is older) to use our Services. By using YOHB, you represent that you meet this requirement. If you are under the age of 18, you represent that you have your parent or legal guardian’s permission to use the Services.

2. Use of Services

You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws. You will not:

• Attempt to access or interfere with any non-public system or data.
• Upload malware, viruses, or engage in any conduct that could harm the Services or other users.
• Use any automated tool (bots, scrapers, crawlers) without prior written consent.
• Impersonate another person or misrepresent your affiliation with any person or entity.
• Harass, threaten, stalk, or intimidate other users.
• Post content that is illegal, defamatory, obscene, sexually explicit, or violates the rights of others.
• Post hate speech, discriminatory content, or content that promotes violence.
• Share personal information of other users without their consent.
• Post spam, chain messages, or unsolicited commercial content.
• Attempt to circumvent any security or authentication measures.
• Use the Services to facilitate vehicle theft, fraud, or any illegal activity.
• Create fake accounts, fake vehicle profiles, or fraudulent content.
• Resell, sublicense, or redistribute the Services without authorization.

YOHB may modify, suspend, or discontinue any part of the Services at any time without liability.

3. Accounts

When you create an account, you agree to provide accurate information and maintain its security. You are responsible for all activity under your account. You must notify us immediately of any unauthorized access. YOHB reserves the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or poses risk to other users or the Services. Upon account termination, your access to the Services will cease, and your content may be retained or deleted in accordance with our Privacy Policy and data retention practices.

4. Intellectual Property

All logos, trademarks, software, designs, and content on or through the Services are owned by YOHB or its licensors. The “YOHB” name and logo are trademarks of YOHB Inc. Except for limited personal use consistent with these Terms, no license or right is granted to you. You may not copy, modify, distribute, sell, or create derivative works from any part of the Services without our prior written consent.

5. User Content

If you upload photos, vehicle data, build information, event listings, posts, comments, or other materials (“User Content”), you grant YOHB a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, display, reproduce, modify, distribute, and use that content as needed to operate, promote, and improve the Services. This license survives termination of your account with respect to any content that has been shared with or incorporated into the Services by other users.

You retain ownership of your User Content. You represent and warrant that: (a) you own or have all necessary rights to the User Content you post; (b) your User Content does not infringe any third-party rights, including intellectual property, privacy, or publicity rights; (c) your User Content does not violate any law or these Terms; and (d) your User Content is accurate and not misleading. You are solely responsible for your User Content and any consequences of posting it.

YOHB does not pre-screen User Content but reserves the right to remove, edit, or refuse any User Content at its sole discretion. When you delete your account, User Content that has been shared publicly or incorporated into community features may remain on the Services.

6. Vehicle Information Disclaimer

YOHB provides tools for users to create and share vehicle profiles, build histories, and specifications. You understand and agree that:

• All vehicle information, build details, specifications, modification history, and ownership claims are provided by users and are not verified by YOHB.
• YOHB makes no warranties regarding the accuracy, completeness, or authenticity of any vehicle information displayed on the Services.
• Event listings, shop directories, and business listings are provided for convenience only; YOHB does not endorse or verify any third-party business or event.
• Any discussions of vehicle modifications, performance specifications, or technical procedures are for informational purposes only and are not professional advice. Vehicle modifications may affect safety, emissions compliance, warranties, and insurance. Consult qualified professionals before making any modifications.
• YOHB is not a vehicle history report service. Do not use YOHB as a substitute for professional vehicle inspections, VIN reports, or title verification when buying or selling vehicles.
• QR codes and digital credentials generated through the Services are for community and identification purposes only and should not be relied upon as proof of vehicle ownership, authenticity, or legal title.

7. Aggregated and Anonymized Data

YOHB may analyze and transform collected information—including usage data and metadata—into aggregated, de-identified, or anonymized data sets that cannot reasonably identify any individual. YOHB may use, share, license, or sell such aggregated data and insights for analytics, market research, advertising, product development, and other lawful commercial purposes. Identifiable personal information (e.g., name, email, address) will never be sold and will not be shared without explicit consent or legal requirement.

8. Communications

By providing your email or other contact information, you agree that we may send you operational and transactional messages (e.g., account confirmations, security notices, policy updates). These messages are part of the Services and cannot be opted out of while you maintain an account.

If you opt in to marketing communications, you may receive promotional emails, which you can unsubscribe from at any time using the unsubscribe link in each email, in compliance with the CAN-SPAM Act.

9. Feedback

If you send us feedback, suggestions, or ideas about the Services (“Feedback”), you acknowledge that your Feedback is non-confidential and grant YOHB an unrestricted, perpetual, royalty-free right to use, modify, and commercialize the Feedback without compensation or attribution.

10. Third-Party Links and Services

Our Services may include links to third-party websites, tools, or services (including but not limited to social media platforms, payment processors, vehicle data providers, and mapping services). YOHB does not control and is not responsible for the content, privacy practices, or availability of those third parties. Your use of third-party services is at your own risk and subject to their terms.

11. DMCA Copyright Policy

YOHB respects intellectual property rights and complies with the Digital Millennium Copyright Act (“DMCA”). If you believe content on the Services infringes your copyright, send a written notice to our DMCA Agent including:

• Your physical or electronic signature.
• Identification of the copyrighted work claimed to be infringed.
• Identification of the infringing material and its location on the Services.
• Your contact information (address, phone, email).
• A statement that you have a good-faith belief the use is not authorized.
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner.

YOHB will respond to valid DMCA notices by removing or disabling access to the allegedly infringing content. Repeat infringers will have their accounts terminated. If you believe your content was removed in error, you may submit a counter-notice.

12. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE.” YOHB makes no warranties—express, implied, statutory, or otherwise—regarding accuracy, reliability, fitness for a particular purpose, merchantability, non-infringement, or uninterrupted operation. YOHB does not warrant that the Services will be free of errors, security vulnerabilities, or interruptions. You use the Services at your own risk.

13. Limitation of Liability

To the fullest extent permitted by law, YOHB and its officers, directors, employees, contractors, and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages—including but not limited to lost profits, lost data, loss of goodwill, or business interruption—arising from or relating to your use of the Services, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising from or relating to these Terms or the Services shall not exceed the greater of $100 USD or the amount you paid to YOHB in the twelve (12) months preceding the claim.

Some jurisdictions do not allow certain limitations on liability, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless YOHB and its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use or misuse of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

15. Arbitration, Class Action Waiver, and Jury Trial Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, rather than in court. Arbitration shall take place in Allen County, Indiana, or another location mutually agreed upon by the parties. Judgment on the arbitrator’s award may be entered in any court of competent jurisdiction.

Class Action Waiver. You and YOHB agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.

Jury Trial Waiver. You and YOHB waive the right to a trial by jury for any dispute arising out of or relating to these Terms or the Services.

Opt-Out Right. You may opt out of this arbitration agreement by sending written notice to legal@yohb.io within 30 days of first accepting these Terms. Your notice must include your full name, account email, and a clear statement that you opt out of arbitration. Opting out will not affect any other provision of these Terms.

Exceptions. Notwithstanding the above, either party may bring claims in small claims court, and either party may seek injunctive or equitable relief in court to protect intellectual property rights.

16. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms, is fraudulent, is harmful to other users, or exposes YOHB to liability. You may terminate your account at any time by following the account deletion process in the Services. Sections that by their nature should survive termination (including Intellectual Property, User Content license, Disclaimers, Limitation of Liability, Indemnification, Arbitration, and Governing Law) shall survive termination.

17. Governing Law

These Terms are governed by the laws of the State of Indiana, USA, without regard to conflict-of-law rules. Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Allen County, Indiana, and you consent to personal jurisdiction in those courts. Nothing in these Terms limits consumer rights that cannot be waived under applicable state law.

18. Force Majeure

YOHB shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, cyberattacks, or governmental actions.

19. Assignment

YOHB may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign or transfer these Terms without our prior written consent.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and YOHB regarding the Services and supersede all prior agreements and understandings.

22. Changes to Terms

YOHB may revise these Terms at any time. Updated Terms will be posted with a new “Effective Date.” Material changes will be communicated via email or in-app notice. Continued use of the Services after changes take effect means you accept the revised Terms.

23. Clubs & Events

YOHB provides tools for organizing clubs and events. YOHB is not a sponsor, organizer, or participant in any club, event, meet, drive, or gathering, whether organized on or off the platform. You use these features at your own risk.

If you create or manage a club or event, you are solely responsible for it, its members or attendees, and its activities, and for ensuring all participants act safely, legally, and at their own risk. If you join or participate in a club or event, you do so voluntarily and at your own risk, and you agree to drive and conduct yourself safely and lawfully at all times.

YOHB is not responsible or liable for: any club or event activities; the conduct, statements, or actions of any member, attendee, officer, or guest; any injury, death, property damage, or loss arising from those activities or from driving of any kind; compliance with traffic laws, vehicle regulations, or any local, state, or federal law; disputes between members, attendees, or organizers; or any agreements, dues, payments, or obligations created within a club or event.

You agree to indemnify and hold YOHB harmless from any claims arising out of any club or event you create, manage, or participate in.
