YOHB – Merchant Agreement

This Merchant Agreement (“Agreement”) applies to any user who creates or manages an event with paid tickets or registrations on YOHB (“Organizer,” “you”). It supplements and is incorporated into the YOHB Terms of Service and Privacy Policy. By enabling paid ticketing or accepting payouts through the Services, you agree to this Agreement. Capitalized terms not defined here have the meaning given in the Terms of Service.

1. Definitions

“Consumer” means a person who purchases a ticket or registration to your event. “Event Proceeds” means amounts paid by Consumers for your event, less YOHB Fees and payment processing fees. “YOHB Fees” means the platform fees YOHB charges for use of the Services. “Payment Processor” means the third-party payment service provider used to process card transactions.

2. YOHB as Limited Payment Agent

You appoint YOHB as your limited agent solely for the purpose of accepting and processing payments from Consumers on your behalf through the Payment Processor, and for facilitating refunds and chargebacks as described in this Agreement. You are the merchant of record and seller of all tickets and registrations to your event. YOHB is not the seller, is not a party to the transaction between you and the Consumer, and assumes no liability for your acts or omissions or for the event itself. YOHB’s appointment as your limited agent does not make YOHB a buyer, reseller, or guarantor of any ticket or event.

3. Payment Processing and Payouts

Card payments are processed through the Payment Processor, and you authorize YOHB to instruct the Payment Processor to hold, disburse, and retain Event Proceeds on your behalf. You must complete the Payment Processor’s onboarding and identity requirements before receiving payouts. YOHB may hold Event Proceeds until after your event has occurred, plus a reasonable buffer period, before paying you out. YOHB may delay, suspend, or withhold payouts, and may require a reserve, where YOHB reasonably determines there is risk of refunds, chargebacks, fraud, or your nonperformance.

4. Fees

YOHB Fees and payment processing fees apply to paid transactions and may be deducted from Event Proceeds or passed to Consumers as disclosed at checkout. YOHB Fees are non-refundable. Payment processing fees charged by the Payment Processor on the original transaction are not returned by the Payment Processor when a payment is refunded.

5. Refunds

You are solely responsible for all refund obligations to your Consumers, as further described in the YOHB Organizer Refund Policy. Where YOHB issues a refund to a Consumer on your behalf, you must reimburse YOHB for the full refund amount. If your available balance with the Payment Processor is insufficient to cover a refund, you authorize YOHB and the Payment Processor to recover the amount, including by debiting your connected payout account or charging a payment method on file, to the extent permitted by the Payment Processor and applicable law.

6. Chargebacks

If a Consumer disputes a charge, you are responsible for the disputed amount and any associated chargeback or dispute fees. You authorize YOHB to recover those amounts from your Event Proceeds, payouts, reserve, or connected account. You agree to cooperate in responding to disputes, including providing documentation. YOHB may, in its discretion, issue a refund to a Consumer rather than contest a dispute YOHB reasonably believes it would not prevail on.

7. Negative Balances and Reserves

You are responsible for maintaining sufficient funds to cover refunds and chargebacks. If your balance becomes negative, you authorize recovery of the negative amount through the Payment Processor, including debiting your external account where permitted. YOHB may impose a rolling reserve or hold based on your history, event size, or risk.

8. Taxes

You are solely responsible for determining, collecting, reporting, and remitting all taxes applicable to your event and ticket sales, including sales, use, amusement, or admission taxes. YOHB does not provide tax advice. You are responsible for any tax reporting obligations applicable to you, and a payment processor may issue tax forms to you where required by law.

9. Your Representations

You represent that you have authority to create and sell tickets to your event, that your event and its content are lawful, that you will perform the event as advertised or refund Consumers in accordance with the Organizer Refund Policy, and that the information you provide is accurate.

10. YOHB’s Rights

YOHB may issue refunds to Consumers on your behalf in the cases described in the Organizer Refund Policy, may suspend or withhold payouts, and may remove an event or suspend your ability to sell tickets where YOHB reasonably determines there is risk of harm to Consumers, fraud, legal violation, or your nonperformance. All such determinations may be made in YOHB’s reasonable discretion.

11. Indemnification; Limitation of Liability

Your indemnification obligations and the limitations of liability in the Terms of Service apply to this Agreement and to your use of paid ticketing, including claims arising from your event, your refunds, or your tax obligations.

12. Termination

YOHB may suspend or terminate your access to paid ticketing at any time for breach of this Agreement, risk, or as otherwise permitted in the Terms. Obligations that by their nature should survive — including refund reimbursement, chargeback responsibility, taxes, indemnification, and limitation of liability — survive termination.

13. Relationship to Other Terms

In the event of a conflict regarding paid ticketing, the order of precedence is: this Merchant Agreement, then the Organizer Refund Policy, then the Terms of Service. All other terms of the Terms of Service and Privacy Policy continue to apply.
